These Terms of Service ("Terms") govern your access to and use of the products, services, and website provided by EU Commerce Tools ("we", "us", or "our"), a product of CDEM Solutions. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By installing our Shopify apps, purchasing our PrestaShop modules, creating an account, or using our website at eucommercetools.com, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree with any part of these Terms, you must not use our services.

2. Description of Services

EU Commerce Tools provides software products for European ecommerce merchants, including:

• Shopify Apps: web-based applications installed through the Shopify App Store, including EU Invoice Compliance, B2B Suite, and AI Sales Assistant. These apps operate within the Shopify ecosystem and are billed through the Shopify Billing API.
• PrestaShop Modules: downloadable software modules for the PrestaShop ecommerce platform, including Verifactu for PrestaShop. These modules are purchased as standalone licenses.
• Website and Content: informational content, blog articles, and documentation available on our website.

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with reasonable notice where possible.

3. Account Registration and Responsibility

Certain features of our services require you to create an account or install an app. When you do so, you agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your account credentials.
• Promptly update your information if it changes.
• Accept responsibility for all activity that occurs under your account.
• Notify us immediately of any unauthorized access or security breach.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or illegal purposes.

4. Subscription and Payment Terms

4.1 Shopify Apps

Our Shopify apps are billed through the Shopify Billing API. By installing a paid app, you authorize Shopify to charge the applicable subscription fees to your Shopify account. Key terms:

• Subscriptions are billed on a recurring monthly basis unless otherwise stated.
• All plans include a 14-day free trial period. You will not be charged during the trial.
• Pricing is displayed in USD and may vary by plan. Current pricing is available on our pricing page.
• You may upgrade, downgrade, or cancel your subscription at any time through the Shopify admin.
• Cancellation takes effect at the end of your current billing period.

4.2 PrestaShop Modules

Our PrestaShop modules are sold as one-time purchases through LemonSqueezy (which uses Stripe as its underlying payment processor). Key terms:

• Each purchase grants you a perpetual, non-exclusive license to use the module on one PrestaShop installation, unless otherwise specified.
• The purchase includes one year of software updates and technical support.
• After the first year, you may optionally renew updates and support at the published renewal rate.
• The module will continue to function without renewal, but you will not receive new updates or support.
• Pricing is displayed in EUR.

4.3 Taxes

All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for any taxes applicable to your purchase based on your jurisdiction. For EU customers, VAT will be applied in accordance with applicable EU VAT rules.

5. Refund Policy

5.1 PrestaShop Modules

We offer a 14-day money-back guarantee on all PrestaShop module purchases. If you are not satisfied with a module within 14 days of purchase, you may request a full refund by contacting us at [email protected]. Refund conditions:

• Refund requests must be made within 14 calendar days of the original purchase date.
• Upon refund, your license is revoked, and you must uninstall the module from your PrestaShop installation.
• Refunds are processed through the original payment method within 5-10 business days.

5.2 Shopify Apps

Refunds for Shopify apps are handled according to Shopify's refund policies and the Shopify Billing API terms. Since all Shopify apps include a 14-day free trial, you have the opportunity to evaluate the app fully before any charges are applied. If you have billing concerns, please contact us and we will work with you to resolve them.

6. Intellectual Property

All content, software, designs, trademarks, logos, and other intellectual property associated with EU Commerce Tools and its products are owned by CDEM Solutions or its licensors. You may not:

• Copy, modify, distribute, or create derivative works from our software, except as expressly permitted by your license.
• Reverse-engineer, decompile, or disassemble our software.
• Remove or alter any proprietary notices, labels, or marks.
• Resell, sublicense, or redistribute our products without written authorization.
• Use our trademarks or branding in a way that suggests endorsement or affiliation without permission.

7. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations.
• Infringe on the intellectual property rights of others.
• Transmit malicious software or engage in activities that compromise system security.
• Interfere with or disrupt the operation of our services.
• Collect or harvest personal data of other users without authorization.
• Use our services for any purpose that is fraudulent, deceptive, or harmful.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total liability for any claims arising from or related to your use of our services shall not exceed the total amount you paid to us in the 12 months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill.
• We shall not be liable for any damages resulting from interruptions, delays, errors, or defects in our services, including any losses incurred due to service downtime.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable EU law.

9. Important Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

10. Indemnification

You agree to indemnify, defend, and hold harmless CDEM Solutions and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms.
• Your use or misuse of our services.
• Your violation of any applicable law or the rights of any third party.

11. Termination

We may suspend or terminate your access to our services at any time, with or without cause, upon reasonable notice. You may terminate your use of our services at any time by:

• Shopify Apps: uninstalling the app from your Shopify admin.
• PrestaShop Modules: uninstalling the module from your PrestaShop installation (the license remains valid per the terms of your purchase).
• Account: contacting us at [email protected] to request account deletion.

Upon termination, your right to access and use our services ceases immediately. Provisions that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, disclaimer, and indemnification sections.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable laws of Spain, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through:

• Online dispute resolution: EU consumers may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
• Jurisdiction: if informal resolution fails, disputes shall be submitted to the exclusive jurisdiction of the competent courts in Spain.

Nothing in this section limits your right to bring a claim before the courts of your country of residence if mandatory consumer protection laws so provide.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page.
• Notify affected users by email at least 30 days before the changes take effect.
• Post a notice on our website.

Your continued use of our services after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using our services before the effective date.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
